Terms of Use for Discussion Groups

1.ACCEPTANCE OF TERMS

The Romanian – American Professional Network ("ROMAMPRO") provides its services to you subject to the following Terms of Use ("TOU").  By using ROMAMPRO's website and message board, you expressly agree to these TOU. ROMAMPRO reserves the right, at its sole discretion, to update the TOU at any time. You can review the most current version of the TOU at any time at the URL for this page. In addition, when using particular ROMAMPRO owned or operated services, you shall be subject to any posted guidelines or rules applicable to such services. All such guidelines or rules are hereby incorporated by reference into the TOU.

You understand that the TOU supplements the general terms of use for the ROMAMPRO website, currently posted at http://www.romampro.org (the “General Terms”). In the event of any conflict between the TOU and the General Terms, the terms and conditions of the TOU shall take precedence.

PLEASE REVIEW THESE TERMS CAREFULLY. BY REGISTERING FOR OR USING THE DISCUSSION GROUPS (AS DEFINED IN SECTION 2), YOU AGREE TO BE BOUND BY THE TOU, INCLUDING ANY REVISIONS THERETO POSTED AT THE URL FOR THIS PAGE OR OTHERWISE DISCLOSED TO YOU.

2.Grant of Rights

Certain divisions, units and other subdivisions of ROMAMPRO maintain interactive, online discussion groups relevant to those in their respective fields of endeavor (the “Discussion Groups”). Subject to the terms and conditions of the TOU, ROMAMPRO grants you a limited, non-exclusive, revocable right to access and use the Discussion Groups.

3.REGISTRATION

a.You represent that you are of legal age to form a binding contract and are not a person barred from using the Discussion Groups under the laws of the United States or any other applicable jurisdiction.

b.You must complete the registration process before accessing the Discussion Groups. In registering, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form, including a certification that you are over the age of 18(the "Registration Data"); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or ROMAMPRO has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, ROMAMPRO has the right to suspend or terminate your account.

4.MEMBER ACCOUNT, PASSWORD AND SECURITY

You will receive a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You may not share your password or account with anyone, and you agree to: (a) notify ROMAMPRO immediately of any unauthorized use of your password or account or any other breach of security; and (b) ensure that you exit from your account at the end of each session.

5.RESPONSIBILITY FOR CONTENT

a.You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials accessible through the Discussion Groups, whether publicly posted or privately transmitted ("Content"), are the sole responsibility of the person from whom such Content originated. This means that you, and not ROMAMPRO, are entirely responsible for all Content that you upload, post, e-mail, transmit or otherwise make available through the Discussion Groups (“Your Content”), and other users of the Discussion Groups, and not ROMAMPRO, are similarly responsible for all Content they upload, post, e-mail, transmit or otherwise make available through the Discussion Groups (“User Content”).

b.You acknowledge that ROMAMPRO has no obligation to pre-screen Content (including, but not limited to, Your Content and User Content), although ROMAMPRO reserves the right in its sole discretion to pre-screen, refuse or remove any Content that is accessible through the Discussion Groups. In the event that ROMAMPRO pre-screens, refuses or removes any Content, you acknowledge that ROMAMPRO will do so for ROMAMPRO’s benefit, not yours. Without limiting the foregoing, ROMAMPRO shall have the right to remove any Content that violates the TOU or is otherwise objectionable.

c.You understand that any threads within the Discussion Groups that remain inactive for one year or more may be deleted.

6.RIGHTS TO CONTENT

a.ROMAMPRO does not claim ownership of Your Content. However, you grant ROMAMPRO a perpetual, worldwide, royalty-free, non-exclusive license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display Your Content.

b.Except with respect to Your Content and User Content, you agree that ROMAMPRO owns all rights, title and interest in all Content within the Discussion Groups.

c.The ROMAMPRO name and logo are trademarks and service marks of ROMAMPRO (the “ROMAMPRO Marks”). You agree not to display or use in any manner any ROMAMPRO Marks without ROMAMPRO’s prior written consent.

7.User CONDUCT

a.All of Your Content and conduct in connection with the Discussion Groups must comply fully with all guidelines established by ROMAMPRO, including, but not limited to: the ROMAMPRO By-Laws; and the conditions set forth in the written participation form that you signed as a condition for participation in the Discussion Groups, which are incorporated herein.

b.In addition to your obligations under Section 7.a, you further agree, with respect to your use of and participation in the Discussion Groups, not to:

(1)upload, post, e-mail, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

(2)harm minors in any way;

(3)impersonate any person or entity, including, but not limited to, an ROMAMPRO official, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(4)forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Discussion Groups;

(5)upload, post, e-mail, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements);

(6)upload, post, e-mail, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

(7)upload, post, e-mail, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

(8)upload, post, e-mail, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

(9)disrupt the normal flow of dialogue, cause a screen to scroll faster than other users of the Discussion Groups are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;

(10)interfere with or disrupt the Discussion Groups or servers or networks connected to the Discussion Groups, or disobey any requirements, procedures, policies or regulations of networks connected to the Discussion Groups;

(11)intentionally or unintentionally violate any applicable local, state, national or international law or regulation;

(12)provide material support or resources (or conceal or disguise the nature, location, source or ownership of material support or resources) to any organization designated by the United States government as a foreign terrorist organization pursuant to Section 219 of the Immigration and Nationality Act;

(13)stalk or otherwise harass another person or entity;

(14)use spiders, crawlers, robots or any other means to access the Discussion Groups or substantially download, reproduce or archive any portion of the Discussion Groups; or

(15)reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purpose any portion of the Discussion Groups (including your user account) or access to or use of the Discussion Groups.

8.PRIVACY

ROMAMPRO collects personal information when you register and when you use the Discussion Groups. ROMAMPRO automatically receives and records information from your computer and browser, including, but not limited to, your IP address, cookie information, software and hardware attributes and the pages that you request. ROMAMPRO will collect, use or share such information in accordance with the ROMAMPRO Privacy Policy, currently posted at www.romampro.org. Notwithstanding the foregoing, you acknowledge, consent and agree that ROMAMPRO may access, preserve and disclose your account information and Your Content if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOU; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests; or (e) protect the rights, property or personal safety of ROMAMPRO, its users and the public.

9.INDEMNIFICATION

You agree to indemnify and hold ROMAMPRO and its officers, directors, volunteers, parents, subsidiaries, affiliates, employees, agents, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of: (a) Your Content; (b) your use of the Discussion Groups; (c) your violation of the TOU; or (d) your violation of any rights of another party.

10.TERMINATION

a.You agree that ROMAMPRO may, under certain circumstances and without prior notice to you, immediately terminate your account. Cause for such termination shall include, but not be limited to: (1) breaches or violations of the TOU or other incorporated agreements, guidelines or rules; (2) requests by law enforcement or other government agencies; (3) a request by you (e.g., self-initiated account deletions); (4) discontinuance or material modification to the Discussion Groups (or any part thereof); (5) unexpected technical or security issues or problems; (6) extended periods of inactivity; or (7) engagement by you in fraudulent or illegal activities. You agree that all terminations for cause shall be made in ROMAMPRO's sole discretion and that ROMAMPRO shall not be liable to you or any third party for any termination of your account.

b.You agree that ROMAMPRO may terminate your account for any reason or no reason at all upon ten (10) days written notice.

11.NO THIRD-PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in this TOU, there shall be no third-party beneficiaries to this agreement.

12.GENERAL PROVISIONS

a.Entire Agreement. The TOU constitutes the entire agreement between you and ROMAMPRO concerning your access to and participation in the Discussion Groups, superseding any prior or contemporaneous agreements between you and ROMAMPRO with respect to the subject matter hereof.

b.Choice of Law and Forum. The TOU and the relationship between you and ROMAMPRO shall be governed by the laws of the State of New Jersey without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within the County of Bergen in the State of New Jersey with respect to any claims arising from the TOU or your use of the Discussion Groups.

c.Waiver and Severability. The failure of ROMAMPRO to exercise or enforce any right or provision of the TOU shall not constitute a waiver of such right or provision. If any provision of the TOU is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOU shall remain in full force and effect.
